1. Agreement to Terms

Welcome to Local Commons, the resident living map operated by Pixel Mixel Inc. ("Company," "we," "us," or "our"), also the operator of LocalXP. These Terms of Service ("Terms") govern your access to and use of Local Commons websites, maps, apps, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

Local Commons is the public shared place. Organization layers, engagement tools, and steward reporting may be provided through LocalXP on the same platform. Using either surface may create or use a shared account.

2. Eligibility

You must be at least 13 years old to use Local Commons. If you are under 18, you must have permission from a parent or legal guardian. By using the Services, you represent that you meet the age requirements, have legal capacity, will comply with these Terms and applicable laws, and have not been previously suspended or removed.

3. Account Registration and Security

3.1 Account creation

Some features require an account (typically email plus a one-time code). You agree to provide accurate information, keep it updated, protect access to your account, notify us of unauthorized use, and accept responsibility for activity under your account.

3.2 Shared identity

An account created on Local Commons or LocalXP may work across both surfaces. Do not share credentials or create accounts to evade fees, bans, or moderation.

4. User Content and Conduct

4.1 Your content

You retain ownership of content you submit ("User Content"), including listings, signals, photos, comments, and place suggestions. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display that content in connection with operating and providing the Services (including on the public living map).

4.2 Prohibited content

Local Commons maintains a zero-tolerance policy for harmful content. You agree not to post or distribute content that includes:

• Adult or sexually explicit material
• Hate speech or discrimination based on protected characteristics
• Harassment, threats, or bullying
• Promotion of violence or self-harm
• Illegal activities
• Any content exploiting or sexualizing minors
• Deliberate harmful misinformation
• Spam, scams, or unauthorized commercial solicitation
• Intellectual property infringement
• Impersonation of another person or organization

4.3 Fraud and deceptive practices

Prohibited conduct includes:

• False business claims or fake credentials
• Impersonation of a person, business, or organization
• Fake reviews or manipulated ratings
• Evading steward or business requirements
• Fraudulent payments or chargebacks

4.4 Event and place photos

Some features let signed-in users add photos to living events or place contributions. By uploading a photo, you represent that:

• You took the photo or have the right to upload and share it
• The photo relates to the event or place you are contributing to
• You understand the photo may appear on the public living map with your credit name when provided

We may require capture location and capture time metadata (EXIF) and may reject uploads that do not match the place and time window. Forging, stripping, or manipulating metadata to fake presence is prohibited. See our Privacy Policy for how photo metadata is handled.

4.5 Other prohibited activities

• Using the Services for any illegal purpose
• Attempting unauthorized access to any part of the Services
• Interfering with or disrupting the Services or servers
• Using bots or scrapers without permission
• Harvesting user information without consent
• Reverse engineering the Services
• Manipulating metrics or engagement signals

5. Listings, Moderation, and the Shared Place

Business and event listings, signals, and other public contributions may require moderator approval before they appear on the living map. We may edit, refuse, or remove submissions that violate these Terms or harm the shared place.

Organizations that want their own layer, engagement tools, or reports use LocalXP behind the same place. Everyday participation and public curation happen on Local Commons.

6. Payments and Subscriptions

Most resident use of Local Commons does not require payment. Certain steward, organization, or commercial features may require payment through LocalXP. Prices are typically shown in Canadian Dollars (CAD). Payments are processed by Stripe. Subscriptions, when offered, renew until cancelled according to the applicable checkout terms. 7. Intellectual Property

7.1 Our rights

The Services, including software, design, and branding, are owned by Pixel Mixel Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

7.2 Trademarks

"Local Commons," "LocalXP," and related marks are trademarks of Pixel Mixel Inc. Do not use them without prior written consent.

7.3 Copyright notices

If you believe content on Local Commons infringes your copyright, contact hello@localxp.ca with a description of the work, location of the material, your contact information, and a good-faith statement.

8. Third-Party Services and Links

The Services may link to third-party sites or integrations. We are not responsible for their content, privacy practices, or terms. Your use of third-party services is at your own risk.

9. Disclaimers and Limitation of Liability

9.1 Service "as is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXEL MIXEL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Pixel Mixel Inc. and its officers, directors, employees, and agents from claims arising out of your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

11. Enforcement and Account Termination

We may suspend or terminate your account immediately for violations of these Terms, harmful behavior, illegal activity, fraud, or to protect the platform or users. You may delete your account through settings where available or by contacting hello@localxp.ca. A grace period may apply before permanent deletion. Appeals may be sent to hello@localxp.ca within 30 days; decisions on appeals are final.

12. Dispute Resolution

Before filing a claim, contact hello@localxp.ca to attempt informal resolution. Unresolved disputes shall be submitted to binding arbitration administered by the ADR Institute of Canada, in accordance with its Arbitration Rules, in Ontario, Canada, in English. Disputes are resolved on an individual basis, not as a class or representative action.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You consent to the exclusive jurisdiction of the courts of Ontario, Canada for disputes not subject to arbitration.

14. Canadian Privacy Law (PIPEDA)

We comply with PIPEDA and applicable provincial privacy legislation. Canadian users may know what personal information we hold, challenge accuracy, withdraw consent for non-essential processing (subject to legal limits), and contact the Office of the Privacy Commissioner of Canada. Details are in our Privacy Policy.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, stop using the Services.

16. General Provisions

These Terms and the Privacy Policy are the entire agreement between you and Pixel Mixel Inc. regarding the Services. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them. We are not liable for delays caused by events beyond our reasonable control.
